JOINT STATEMENT OF ANTI COMMERCIAL BRIBERY

Xiamen Daren Supply Chain Management Co., Ltd. (“ Daren”) is committed to provide independent, objective, fair, and impartial third-party services, including inspection, factory audits and facility assessments, to clients both domestically and internationally.   It   accurately   documents   and   reports   various   findings   to   its   clients.   To   ensure   that   all   relevant   personnel adhere to   professional ethics,   integrity, and   legality,   and to guarantee   Daren's   independence   in   implementing   inspection, factory audits and facility assessment   processes   ("verification work") and the objectivity and fairness of reporting   results, Daren invites you and your factories (referred to collectively as "both Parties," individually as a "Party") to collaborate. Both Parties   will   mutually   supervise,   promptly   communicate   feedback,   and   collaboratively   create   a   transparent   working environment. Together, they make the following joint declaration:

I.        Both you and   Daren have zero tolerance for bribery, extortion, and bribery reception by each   party's employees and personnel. Neither Party shall engage in any financial/material transactions with the other Party and/or its employees or personnel. Additionally, each   Party must ensure that its employees and personnel refrain from any financial/material transactions with the other Party and/or its employees or personnel without legitimate reasons.

II.      In   the   event   that   an   employee   or   personnel   of   either   Party   directly   or   indirectly   requests   remuneration,   benefits, engages in improper conduct, or commits any other actions contrary to this joint declaration, the other Party should retain evidence or records and contact the official reporting mailbox of that Party:

III.     Each   Party   must   ensure   the   smooth   operation   of   the   complaint   channel,   maintain   the   confidentiality   of   complaint information,   and   guarantee   the   fairness   of   subsequent   works.   Both   Parties   commit   to   provide   feedback   on   all complaints within one week. If a complaint is substantiated, the Party in violation of this joint declaration will exclude the   individuals   involved   from   verification   work   and    impose   penalties,    including   termination   of   employment contracts/labor contracts/service contracts. In cases with severe criminal implications, they will be referred to the public security authorities.

IV.     You   guarantee   that   you   and   your   factories   will   not   engage   in   bribery   and   ensure   that   this   requirement   is   clearly communicated to   all   QC, factory, and   related   personnel.   If   you   and/or   its   factories   engage   in   any   proactive   bribery towards Daren's employees or personnel (including money, red envelopes, gifts, valuable vouchers, etc.), or violate any other terms of this joint declaration, Daren's employees or personnel will promptly report to Daren. If confirmed, Daren will immediately report to the client. Daren will not be held responsible for any reassessment or cooperative impacts on you by the client. If the compensation is not sufficient to cover Daren's losses, you shall also be liable for the damages and losses Daren suffers.

V.      Due to the client(s)’ requests arising from services or business cooperation, you and your factories are not obligated to provide any meals or gifts to Daren's employees or personnel.
